1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Bug HQ platform ("Service") operated by Bug HQ ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Bug HQ is a software-as-a-service platform designed for pest control companies and licensed WDO (wood-destroying organism) inspectors. The Service includes tools for scheduling inspections, generating WDO reports, managing pest control jobs, invoicing, and customer communication.

3. Eligibility

3.1 General Eligibility

You must be at least 18 years old and authorized to operate a business in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements. Use of the Service for unlicensed pest control or inspection activity is prohibited.

3.2 Licensed Operator Requirement

Bug HQ is available exclusively to pest control businesses that hold a valid, active license issued by the California Structural Pest Control Board ("SPCB") or an equivalent regulatory body in the operator's jurisdiction. By creating an account, you represent and warrant that:

  • (a) Your business holds a current, active SPCB Operator license (Branch 1, 2, or 3, as applicable to the services you provide), or an equivalent license in your jurisdiction;
  • (b) The qualifier or operator named on the license has authorized the creation of your Bug HQ account and is responsible for all activity on the account;
  • (c) The license information you provide during application is accurate and matches the public record maintained by the SPCB or equivalent regulatory body;
  • (d) You will notify Bug HQ within seven (7) days if your license is suspended, revoked, expires, or is otherwise rendered inactive.

Bug HQ verifies license status during account approval and may, at its discretion, re-verify license status at any time. If we determine that your license is no longer valid, active, or in good standing, we may immediately suspend or terminate your account and disable your ability to generate, edit, or distribute reports through the Service. You agree that suspension or termination on these grounds does not entitle you to a refund.

3.3 Report Responsibility and Legal Liability

Bug HQ is a software platform. We are not a licensed pest control operator, structural pest control business, or inspection company. We do not perform inspections, employ inspectors, or issue reports. Every WDO inspection report, finding, recommendation, and signature generated through the Service is the legal work product of the licensed operator whose SPCB license number appears on the report.

By using the Service, you acknowledge and agree that:

  • (a) WDO inspection reports are legal instruments under California Business and Professions Code §8516 and analogous statutes in other jurisdictions, and may be relied upon by buyers, sellers, lenders, escrow agents, and regulatory bodies in real estate and lending transactions;
  • (b) You are the sole legal author of every report you generate, sign, or distribute through Bug HQ, regardless of which user account or device was used to enter the data;
  • (c) You bear sole responsibility and liability for the accuracy, completeness, and lawful use of every report, including but not limited to claims, disputes, regulatory actions, civil litigation, or criminal proceedings arising from any report;
  • (d) You will not generate, sign, distribute, or permit the distribution of any report under a license you do not hold, under a qualifier name other than the operator on file with the SPCB, or in any manner intended to deceive a third party as to the identity, qualifications, or licensing status of the inspector;
  • (e) Bug HQ may include the licensee's SPCB license number, qualifier name, and a "Generated via Bug HQ" attribution on every report as a matter of record. You consent to this attribution.

Misuse of the Service in violation of this section is grounds for immediate termination, forfeiture of any prepaid subscription fees, and reporting to the SPCB or other applicable regulatory or law enforcement authorities.

4. Accounts

4.1 Registration

You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials.

4.2 Account Security

You are responsible for all activity that occurs under your account. Notify us immediately at support@bug-hq.com if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.

4.3 Team Members

Company administrators may invite additional users (inspectors, technicians, office staff) to their account. Administrators are responsible for ensuring that all team members comply with these Terms.

5. Subscriptions and Payment

5.1 Plans

Access to the Service requires a paid subscription. Subscription plans and pricing are described on our website. We reserve the right to change pricing with 30 days' notice to active subscribers.

5.2 Billing

Subscriptions are billed monthly in advance. Payment is processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

5.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

5.4 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment is not resolved within 7 days, your account may be suspended. Data is retained for 90 days after suspension before permanent deletion.

5.5 Refund Policy

Bug HQ offers a 14-day free trial on all plans, during which you have full access to every feature with no charge. Because we provide complete platform access during the trial period, we do not offer refunds after the trial ends and your first payment is processed.

No refunds are issued for:

  • Forgetting to cancel before the trial ends
  • Partial months of service
  • Unused features or time remaining on a billing period
  • Downgrades or plan changes

Cancellation: You may cancel your subscription at any time from Settings → Billing in your account. Cancellation stops all future billing immediately. You retain access to the platform until the end of your current billing period.

Exceptions: In cases of duplicate charges or billing errors on our part, we will issue a prompt refund. Contact support@bug-hq.com within 7 days of the charge.

Chargebacks: Initiating a chargeback without contacting us first may result in immediate account termination. We encourage you to contact us at support@bug-hq.com before disputing a charge — we respond within 1 business day.

6. Email Communications

Bug HQ sends automated transactional emails to your customers on your behalf, including appointment confirmations, reminders, document delivery, and review requests. By using this feature, you agree that:

  • You will only send messages to individuals who have a legitimate business relationship with your company.
  • You will comply with all applicable laws and regulations governing commercial email communications, including the CAN-SPAM Act.
  • You will not use the email feature to send spam, unsolicited messages, or messages unrelated to your pest control services.
  • You are solely responsible for the accuracy of customer email addresses you provide.

Bug HQ provides the technical infrastructure for email delivery but is not responsible for your compliance with applicable communication laws. You indemnify Bug HQ against any claims arising from your use of the email notification feature.

7. Your Data

7.1 Ownership

You retain ownership of all data you upload or create within the Service, including customer records, inspection reports, photos, and invoices ("Your Data").

7.2 License to Us

You grant Bug HQ a limited license to store, process, and transmit Your Data solely to provide the Service. We do not claim any ownership rights in Your Data.

7.3 Data Export

You may export your data at any time while your account is active. Upon cancellation, you have 90 days to export your data before it is permanently deleted.

7.4 Customer Data Responsibility

You are responsible for ensuring you have the right to upload and process your customers' personal information within the Service, and for complying with any applicable privacy laws regarding that data.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Service to store or transmit malicious code
  • Resell or sublicense access to the Service without written permission
  • Misrepresent your identity, credentials, or the results of inspections generated through the Service

9. Intellectual Property

The Service, including its design, code, branding, and content (excluding Your Data), is owned by Bug HQ and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or proprietary technology beyond what is needed to use the Service as intended.

10. WDO Report Disclaimer

Bug HQ provides tools to assist licensed inspectors in generating WDO inspection reports. Reports generated through the Service are the professional product of the licensed inspector who completes and signs them. Bug HQ makes no warranty that reports generated through the platform satisfy the requirements of any particular state, jurisdiction, or transaction. You are solely responsible for ensuring your reports comply with applicable licensing laws and industry standards.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUG HQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Bug HQ and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or any conduct we determine to be harmful to other users or the Service. You may terminate your account at any time by canceling your subscription and ceasing use of the Service.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

16. Changes to Terms

We may modify these Terms at any time. We will notify active subscribers of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
